Terms of Service

These Terms of Service (“Terms”) govern access to and use of the website located at nexusinfinity.ai, the Nexus Infinity platform, and any related services, features, content, support channels, and communications provided by TRC (collectively, the “Services”).

In these Terms, “TRC,” “we,” “us,” and “our” mean TRC, the company that owns and operates Nexus Infinity. “Nexus Infinity” refers to the platform, website, and related service offerings operated by TRC.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

Scope of the Services

Nexus Infinity includes:

  • the public-facing website at nexusinfinity.ai;
  • product, service, and marketing content;
  • customer support and service communications;
  • restricted-access platform functionality;
  • tools, workflows, content, documentation, and related technical features made available by TRC.

The Services may evolve over time, and we may add, remove, or modify features at our discretion.


Eligibility and Access

You may use the Services only if you have the legal capacity to enter into a binding agreement and are authorized to do so on behalf of yourself or the organization you represent.

Nexus Infinity is not offered as an open self-service public registration platform. Access to platform features is generally limited to users authorized by TRC or by an organization that has a valid business relationship with TRC.

We may grant, deny, limit, suspend, or revoke access to any part of the Services at our discretion, including where access is unauthorized, inconsistent with these Terms, or presents legal, security, or operational risk.


Accounts and Authorized Users

If access to any portion of the Services requires credentials, invitation, enterprise onboarding, or user provisioning:

  • you must provide accurate and current information;
  • you are responsible for maintaining the confidentiality of your login credentials;
  • you may not share credentials except as expressly permitted by TRC;
  • you are responsible for activity occurring under your account or credentials, to the extent permitted by law;
  • you must promptly notify us of any suspected unauthorized access, misuse, or security incident.

If your access is provided through your employer, client, or another organization, that organization may control, manage, suspend, or terminate your access consistent with its arrangement with TRC.


Acceptable Use

You agree not to use the Services to:

  • violate any applicable law, regulation, or third-party right;
  • infringe, misappropriate, or violate intellectual property, privacy, confidentiality, or other rights;
  • upload, transmit, or distribute unlawful, fraudulent, defamatory, obscene, abusive, or misleading content;
  • introduce malware, viruses, worms, trojans, or other harmful code;
  • interfere with, disrupt, or compromise the integrity, security, or performance of the Services;
  • probe, scan, reverse engineer, benchmark, scrape, or attempt unauthorized access to the Services, systems, or networks, except to the extent such restrictions are prohibited by law;
  • use the Services to develop, train, or improve a competing product or service, except as expressly authorized in writing;
  • impersonate another person or misrepresent affiliation, authority, or identity;
  • use the Services in a manner that exceeds granted access rights or bypasses restrictions or protective measures;
  • submit sensitive, regulated, or high-risk data unless expressly authorized by TRC and covered by appropriate contractual and technical controls.

We may investigate suspected violations and take any action we deem appropriate, including suspension, termination, removal of content, or legal action.


Customer Content and User Submissions

You may submit information, data, prompts, files, documents, messages, support materials, feedback, or other content through the Services (“Submissions”).

You retain any rights you have in your Submissions, subject to the rights you grant in these Terms and any separate written agreement between you and TRC.

You grant TRC a non-exclusive, worldwide, royalty-free license to host, use, reproduce, process, transmit, display, adapt, and otherwise use Submissions as necessary to:

  • provide, operate, maintain, and improve the Services;
  • respond to support requests;
  • secure, monitor, debug, and troubleshoot the Services;
  • enforce these Terms and applicable policies; and
  • comply with law and legal process.

You represent and warrant that:

  • you have all rights, permissions, and authority necessary to submit the Submissions;
  • your Submissions do not violate law or third-party rights; and
  • your Submissions do not contain material you are prohibited from disclosing.

If TRC processes certain data on behalf of a business customer under a separate commercial agreement, that agreement may govern ownership, use, confidentiality, security, and related handling of that data.


AI and Automated Features

If the Services include AI-enabled, machine-assisted, or automated functionality:

  • outputs may be probabilistic, incomplete, inaccurate, or unsuitable for a particular purpose;
  • you are responsible for reviewing outputs before relying on them;
  • the Services are not a substitute for legal, medical, financial, compliance, or other professional judgment unless explicitly stated otherwise in writing;
  • TRC may use inputs, outputs, logs, telemetry, and related technical data to operate, secure, support, and improve the Services, subject to applicable agreements and privacy commitments.
  • TRC does not use customer content submitted through the platform to train general-purpose AI models.

    Feedback

If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback regarding the Services (“Feedback”), you grant TRC a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and exploit that Feedback for any lawful purpose without restriction or obligation to you, unless otherwise agreed in writing.


Intellectual Property

The Services, including all software, technology, interfaces, designs, text, graphics, logos, trademarks, service marks, documentation, and other content made available by TRC, are owned by TRC or its licensors and are protected by applicable intellectual property and other laws.

Except for the limited right to access and use the Services in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.

You may not copy, modify, distribute, sell, lease, sublicense, publicly display, publicly perform, create derivative works from, or otherwise exploit the Services except as expressly authorized by TRC in writing.

Nexus Infinity, related branding, and associated names, logos, and marks are the property of TRC or its licensors. You may not use them without prior written permission.


Third-Party Services

The Services may integrate with or link to third-party tools, websites, APIs, infrastructure, or services. TRC does not control and is not responsible for third-party services, including their availability, security, legality, accuracy, or privacy practices.

Your use of third-party services may be subject to separate terms and policies between you and the relevant third party.


Confidentiality

If you receive access to non-public information through the Services, including technical, business, product, security, or customer-related information designated as confidential or that reasonably should be understood as confidential, you agree not to use or disclose that information except as necessary for authorized use of the Services or as otherwise permitted in writing.

This section does not apply to information that:

  • is or becomes publicly available through no wrongful act;
  • was lawfully known to you without restriction before disclosure;
  • is lawfully received from a third party without breach of obligation; or
  • is independently developed without use of confidential information.

If disclosure is required by law, you may disclose only the portion legally required, and where permitted, you will provide advance notice so protective measures may be sought.


Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if:

  • we believe you violated these Terms or applicable law;
  • your use creates legal, security, reputational, or operational risk;
  • access was granted in error;
  • your organization’s relationship with TRC has ended or changed; or
  • suspension or termination is necessary to protect the Services, TRC, users, or third parties.

You may stop using the Services at any time.
Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnity, dispute resolution, and general terms.


Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, EXCEPT TO THE EXTENT OTHERWISE EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

TRC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUT, CONTENT, OR RESULT WILL BE ACCURATE, COMPLETE, OR RELIABLE.

Some jurisdictions do not allow exclusion of certain warranties, so some of the above may not apply to you.


Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.


Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TRC and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your use or misuse of the Services;
  • your Submissions;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your infringement or violation of any third-party rights.

If your use is on behalf of an organization, that organization may also be responsible to the extent provided in a separate agreement.


Privacy

Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and disclose personal information.


Export, Sanctions, and Compliance

You may not use, export, re-export, or transfer the Services except as authorized by applicable law, including export control and sanctions laws.

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive trade restrictions applicable to the Services, and that you are not a prohibited or restricted party under applicable sanctions laws.


Governing Law and Dispute Resolution

These Terms are governed by applicable law. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the courts of competent jurisdiction, unless a separate written agreement states otherwise.


Changes to the Services or Terms

We may modify these Terms from time to time. When we do, we will update the “Last Updated” date above. Changes will become effective upon posting unless otherwise stated.

By continuing to use the Services after revised Terms become effective, you agree to the updated Terms.

We may also modify, suspend, or discontinue any part of the Services at any time, with or without notice.


General Terms

These Terms constitute the entire agreement between you and TRC regarding the Services, except to the extent superseded by a separate written agreement.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

TRC’s failure to enforce any provision is not a waiver of its right to do so later.

You may not assign or transfer these Terms or any rights under them without TRC’s prior written consent. TRC may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and TRC.
